Announcement pursuant to section 93 para 2 of the Austrian Stock Exchange Act ( Fries-Kapitalinvest Beteiligungs GmbH)

IMMOFINANZ AG: Change in stake of voting rights of Fries-Kapitalinvest Beteiligungs GmbH

IMMOFINANZ AG was notified on 27 August 2015 in accordance with sections 91 et seq Austrian Stock Exchange Act that FRIES Holding GmbH with its seat in Vienna transferred all of its 27,476,813 shares in IMMOFINANZ AG to Fries-Kapitalinvest Beteiligungs GmbH with its seat in Baden on 27 August 2015 with the effect that Fries Holding GmbH holds no shares in IMMOFINANZ AG anymore as of 27 August 2015. Fries-Kapitalinvest Beteiligungs GmbH directly holds 60,976,813 shares, which corresponds to more than 5% of IMMOFINANZ AG’s total share capital.

Sole shareholder of FRIES Holding GmbH is FRIES Familien-Privatstiftung with its seat in Schwertberg. Shareholder of Fries-Kapitalinvest Beteiligungs GmbH with its seat in Baden is Dr. Rudolf FRIES Familien-Privatstiftung with its seat in Kaumberg with a stake of 55% and EBF Privatstiftung with its seat in Schwertberg with a stake of 45%. Dr. Rudolf Fries is managing director of FRIES Holding GmbH and Fries-Kapitalinvest Beteiligungs GmbH. Furthermore, Dr. Rudolf Fries is founder and member of the advisory board of FRIES Familien-Privatstiftung with its seat in Schwertberg and of Dr. Rudolf FRIES Familien-Privatstiftung with its seat in Kaumberg. In his capacity as founder and member of the advisory board Dr. Rudolf Fries nominates the managing directors of both private foundations. Mag. Elisabeth Bukowiecki-Fries is founder and member of the advisory board of EBF Privatstiftung and furthermore founder and member of the advisory board of FRIES Familien-Privatstiftung. In her capacity as founder and member of the advisory board Mag. Elisabeth Bukowiecki-Fries nominates the managing directors of EBF Privatstiftung and FRIES Familien-Privatstiftung.

As of 27 August 2015 Fries-Kapitalinvest Beteiligungs GmbH, FRIES Familien-Privatstiftung, Dr. Rudolf FRIES Familien-Privatstiftung and members of the Fries family continue to hold directly and by way of attribution 69,781,813 shares which corresponds to approximately 6.50% of IMMOFINANZ AG's total share capital and voting rights.
